Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Corvian Labs website and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Use of Services

Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or business use. This license does not include the right to:

  • Modify, copy, or distribute our Content without permission
  • Reverse engineer or attempt to extract source code from our Services
  • Use our Services for any unlawful or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of our Services
  • Attempt to gain unauthorized access to our systems or networks

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if we suspect any unauthorized or fraudulent activity.

Subscription and Payments

Pricing

Our products may be offered on a subscription basis with various pricing tiers. All prices are displayed in US dollars and are subject to change with reasonable notice. We reserve the right to modify our pricing at any time.

Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). By subscribing, you authorize us to charge your payment method automatically until you cancel your subscription.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of your current billing period. We do not offer refunds for partial subscription periods, except as required by law.

Intellectual Property

All Content and materials available through our Services, including but not limited to text, graphics, logos, software, and trademarks, are the property of Corvian Labs or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not use our Content for commercial purposes without our express written permission. Any unauthorized use of our intellectual property may result in legal action.

User-Generated Content

If you submit, post, or transmit any content through our Services ("User Content"), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such User Content for the purpose of operating and improving our Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

Prohibited Conduct

You agree not to:

  • Use our Services for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit viruses, malware, or other harmful code
  • Spam, phish, or engage in fraudulent activities
  • Harass, abuse, or harm other users

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORVIAN LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL ARISING OUT OF YOUR USE OF OUR SERVICES.

Indemnification

You agree to indemnify, defend, and hold harmless Corvian Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of our Services or violation of these Terms.

Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use our Services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts in Canada.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Corvian Labs regarding your use of our Services and supersede any prior agreements.

Services Engagements

The following terms apply when you hire Corvian Labs for web design, development, consulting, or maintenance work. A written quote or statement of work for a specific project takes precedence over this section where the two differ.

  • Quotes: Written quotes are valid for 30 days. "From" prices published on this website are starting points; every project receives a written scope and fixed quote before work begins.
  • Payment: A 50% deposit is required to reserve a start date, with the balance due on launch or final delivery. Larger projects may be split into milestones. Prices are in Canadian dollars and are subject to 13% HST. Hourly work is billed in 15-minute increments with itemized invoices, payable within 15 days.
  • Revisions: Each design phase includes two rounds of revisions. Additional revisions or changes to the agreed scope are quoted separately or billed hourly, and only proceed with your approval.
  • Your responsibilities: You agree to provide content, feedback and approvals in a timely manner, and confirm that any content you supply does not infringe the rights of others.
  • Ownership: On receipt of final payment, you own the delivered source code, design files, domain and hosting accounts for your project. Corvian Labs retains ownership of pre-existing tools, libraries and know-how, and grants you a perpetual licence to use them within the delivered work. Open-source components remain under their own licences.
  • Portfolio: Corvian Labs may display the completed work, including screenshots and a short description, in its portfolio and marketing materials unless you request otherwise in writing.
  • Post-launch support: Every project includes 30 days of fixes for defects in the delivered work. Ongoing support is available through a care plan or hourly, and care plans are month-to-month and can be cancelled at any time with notice before the next billing date.
  • Third-party services: Hosting, domains, email delivery, maps, analytics and similar services are provided by third parties under their own terms and fees, which are your responsibility unless included in a care plan.
  • Cancellation: Either party may end an engagement in writing. You will be invoiced for work completed to that date, and the deposit is non-refundable once work has begun.
